Terms of Adhesion for the Distribution of Videos and/or AI-Changed Videos
By uploading, submitting or designating a video for publication on Neotlix.Space (the "Platform"), the Author automatically represents, warrants, and agrees to all terms below. The Platform acts in reliance on these representations and has no obligation to independently verify them.
1. Purpose
The Author authorizes Neotlix.Space to publish, distribute, display and make available the submitted video — whether produced by conventional means, with Artificial Intelligence tools, or by any combination of both — across any digital environment owned, operated or partnered by Neotlix.Space, in any country. By submitting the video, the Author declares they are its creator and accepts full responsibility as set out in these Terms. If monetization is introduced in the future, the Author may be eligible for fair compensation.
2. Definitions
For the purposes of these Terms:
- "Work" means the video submitted or designated by the Author for publication on the Platform, including any AI-generated, AI-assisted or AI-changed element of it.
- "Copy" means any digital instance, file, backup, export or previously published version of the Work that is provided to, or obtained by, the Platform.
- "Source" means the location, service, storage medium or address designated, indicated or approved by the Author as the place from which the Platform may obtain a Copy of the Work.
- "Third-Party Service" means any platform, website, network, hosting provider or service operated by a party other than Neotlix.Space, including any service on which the Author has previously published the Work.
3. Authorship and Ownership
The Author represents and warrants that they are the author and rights holder of the Work, or that they otherwise hold all rights, licenses, consents, releases and permissions necessary to grant the rights described in these Terms. The Author further warrants that no agreement, assignment, exclusivity arrangement or prior license to which the Author is a party prevents or restricts the grant of those rights to Neotlix.Space.
4. Origin of the Copy
The Author alone determines and designates the Source of the Copy of the Work made available to the Platform. Such a Copy may be the original master file, an archival or backup copy, an export, or a copy of a version of the Work previously published by the Author on any other service. Where the Copy is not uploaded directly, its retrieval is an automatic technical process initiated by and carried out at the direction of the Author, in which the selection of both the Source and the material is made exclusively by the Author. The Platform performs no independent selection of the Work and merely executes the Author’s technical instruction. For that limited purpose, and for no other purpose, the Author authorizes the Platform to act solely as a technical intermediary and technical service provider, acting on the Author’s instruction, in order to obtain the Copy designated by the Author. Nothing in these Terms creates an agency, partnership, joint venture, fiduciary or employment relationship between the Author and Neotlix.Space, and neither party may bind or incur obligations on behalf of the other. Neotlix.Space does not determine, choose, recommend or verify the Source, does not participate in the Author’s choice of it, and bears no responsibility for acts performed by the Author in obtaining a Copy of the Author’s own Work. The Author assumes sole and full responsibility for the lawfulness of the means by which the Copy was obtained and for its conformity with applicable law and with any terms of use binding on the Author. Nothing in these Terms shall be interpreted as requiring the Platform to retrieve a Copy from any particular Source, or to retrieve any Copy at all.
5. Author-Initiated Retrieval
The Platform retrieves a Copy of the Work only after the Author has expressly designated a Source and instructed the Platform to obtain that Copy. The Platform does not independently search for, identify, monitor or retrieve Works from any third-party source on its own initiative, and undertakes no general obligation to monitor the material it hosts or the sources from which Authors instruct it to obtain material. Indexing, cataloguing, ranking, recommendation and similar operations applied to material already hosted on the Platform are automated, are carried out solely to organize and present that material to viewers, and do not constitute editorial control over, endorsement of, or knowledge of the content of any Work.
6. Author’s Declarations and Responsibilities
By submitting or designating the Work, the Author expressly declares that:
- They are the sole creator and rights holder of the submitted Work.
- The Work does not infringe any third-party rights, including copyrights, trademarks, image, voice, music, script, or other intellectual property.
- Any AI-generated or AI-changed material was produced under the Author’s exclusive direction and responsibility.
- The Author expressly authorizes and instructs the Platform to obtain the Copy from the Source designated by the Author, and confirms that such instruction is given knowingly, voluntarily and on the Author’s own behalf.
- The obtaining of a Copy of the Work from the Source designated by the Author does not violate any applicable law, and the Author holds every authorization, consent and permission required to make that Copy available to the Platform.
- The Author has satisfied themselves, at their own risk and on their own assessment, that their designation of the Source is compatible with every agreement, terms of service, policy or restriction binding on the Author, including those of any Third-Party Service on which the Work was previously published.
- They assume full civil, administrative, and criminal liability arising from the creation, sourcing, use, and distribution of the Work, releasing Neotlix.Space from any related obligation or liability.
7. Third-Party Services and Their Terms
The relationship between the Author and any Third-Party Service, including any account, contract, terms of service, policy or restriction applicable to the Author on such a service, is exclusively a matter between the Author and that service. Neotlix.Space is not a party to it, assumes no obligation under it, and gives no representation as to its content or effect. The Author is solely responsible for any consequence — contractual, technical, financial or legal — arising from the Author’s own compliance or non-compliance with such terms, including any suspension, strike, claim or termination applied to the Author by a Third-Party Service. The Author shall not be entitled to any remedy from Neotlix.Space in respect of such consequences.
8. Technical Processing, Storage and Playback
The Author authorizes Neotlix.Space to carry out any technical operation reasonably required to make the Work available on the Platform, including retrieval, ingestion, storage, temporary buffering, caching, edge caching and intermediate storage, transcoding, format and codec conversion, segmentation and packaging for adaptive streaming, subtitle and audio-track handling, thumbnail generation, indexing and delivery through the Platform’s own or third-party infrastructure, content delivery networks and player technology. Such operations are automatic and transient or intermediate in nature, are performed by technical means selected by the Platform solely for the purpose of carrying out the Author’s instruction and delivering the Work as authorized by the Author, and involve no modification of the Work other than that required for technical delivery. Neotlix.Space may change, replace or discontinue any technical means of retrieval, delivery or playback at any time without notice and without amending these Terms.
9. Authorization for Use and Distribution
The Author grants Neotlix.Space a free, non-exclusive, worldwide, sublicensable and perpetual license to obtain, host, store, reproduce, adapt for technical purposes, transmit, communicate and publicly display the Work, in whole or in part, together with its title, description, thumbnail and associated metadata, for as long as it remains available on the Platform, and thereafter to the extent required for archival, evidentiary, legal-compliance or backup purposes.
10. Copyright and Third-Party Claims
In the event of any claim, dispute, notice, demand or allegation of rights infringement, or of any objection raised by a Third-Party Service, the Author is the sole party responsible for resolving it and for compensating Neotlix.Space and/or any third party for damages. Neotlix.Space may remove, disable, restrict or delist the Work at any time, at its sole discretion, if it becomes aware of a legal risk, complaint or objection, without owing the Author any compensation, notice or justification.
11. Notice and Takedown
Neotlix.Space operates as a technical hosting service with automated processing, storing and delivering content supplied at the direction of its users, and does not pre-screen or edit submissions. Any rights holder who believes that content available on the Platform infringes their rights may submit a notice to the contact address published on the Platform. Upon receipt of a substantiated notice, Neotlix.Space will act expeditiously to remove or disable access to the content concerned. In addition, the Platform may remove, disable, suspend or restrict access to any Work immediately upon receiving a complaint, or where it reasonably believes that continued availability of the Work may expose the Platform, the Author or any third party to legal or regulatory risk, without prior notice and without liability towards the Author. Nothing in these Terms shall be construed as a waiver of any limitation of liability, safe harbour or hosting exemption available to Neotlix.Space under applicable law.
12. Repeat Infringer Policy
Neotlix.Space may, at its sole discretion, refuse further submissions from, and terminate the participation of, any Author who is the subject of repeated notices, complaints or objections, whether or not those notices are ultimately upheld. Such termination gives rise to no liability of Neotlix.Space towards the Author.
13. Indemnification
The Author shall defend, indemnify and hold harmless Neotlix.Space, its owners, shareholders, directors, officers, employees, contractors, affiliates, partners, hosting and infrastructure providers (the "Indemnified Parties") from and against any and all claims, demands, notices, proceedings, investigations, fines, penalties, settlements, losses, damages, liabilities, and reasonable costs and expenses — including attorneys’ fees, court costs, expert and technical-expertise fees, and compliance costs, whether incurred in defending a claim or in enforcing this indemnity — arising out of or in connection with: (a) any breach or inaccuracy of the Author’s representations, warranties or undertakings under these Terms; (b) the content of the Work; (c) the Author’s designation of a Source or the obtaining of a Copy from it; (d) any claim, demand or proceeding brought by any rights holder or by any Third-Party Service, including any claim arising from the Author’s designation of the Source or from the obtaining of the Copy pursuant to the Author’s instruction; or (e) the Author’s violation of any law or of any agreement binding on the Author. This obligation applies to the fullest extent permitted by applicable law, survives the removal of the Work and the termination of these Terms, and is without prejudice to any other remedy available to the Indemnified Parties.
14. Platform Liability Disclaimer
Neotlix.Space is not liable for the content, authorship, provenance or lawfulness of the Work, for any damages or legal consequences arising from it, or for third-party claims. Neotlix.Space does not pre-screen or edit submissions, makes no independent verification of the Author’s declarations, and acts solely on the Author’s instructions; any automated ordering, ranking or recommendation of hosted material does not constitute editorial control or endorsement. Full responsibility rests solely with the Author.
15. Limitation of Liability and No Warranty
The Platform is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, including as to availability, continuity, fitness for a particular purpose or uninterrupted playback. To the fullest extent permitted by applicable law, the aggregate liability of Neotlix.Space towards the Author for any cause whatsoever shall not exceed the total amount, if any, actually paid by Neotlix.Space to the Author in the twelve months preceding the event giving rise to the claim, and in no event shall Neotlix.Space be liable for indirect, incidental, special, punitive or consequential damages, loss of profit, loss of audience, loss of data or loss of opportunity.
16. Content Restrictions and Author’s Sole Liability
Neotlix.Space does not permit the submission of content that is illegal, harmful, violent, defamatory, hateful, discriminatory, obscene, sexually explicit, fraudulent, or otherwise inappropriate, nor content that violates the rights, image, reputation, trademarks, privacy or intellectual property of any individual, company or entity. The Author is solely responsible for all legal, civil, administrative, criminal and financial consequences of the submitted content, and agrees to indemnify and hold Neotlix.Space, its affiliates, employees and partners harmless from any related claim or damage. Neotlix.Space may remove the Work immediately, without prior notice, upon identifying a potential violation of this clause.
17. Platform Discretion, Removal and Termination
The Platform may refuse to retrieve, accept, publish, distribute or continue to distribute any Work, for any lawful reason and at its sole discretion, to the fullest extent permitted by applicable law, and is under no obligation to state grounds. Neotlix.Space may remove or deactivate the Work at any time, to the fullest extent permitted by applicable law and without liability. Publication of a Work creates no expectation, entitlement or obligation of continued availability. The Author may request removal at any time; Neotlix.Space will comply within 30 days. These Terms take effect automatically upon submission or designation of the Work.
18. No Affiliation with Third Parties
Neotlix.Space is an independent service and is not affiliated with, sponsored by, endorsed by, or acting on behalf of any Third-Party Service, and claims no rights in the trademarks, names or logos of any such service. Any reference to a Third-Party Service is descriptive only and made solely to identify the Source designated by the Author.
19. Amendments, Severability and Survival
Neotlix.Space may amend these Terms at any time by publishing an updated version on the Platform; the version in force at the time of each submission applies to that submission. If any provision is held invalid, unlawful or unenforceable, it shall be limited or severed to the minimum extent necessary and the remaining provisions shall remain in full force. Sections 3, 4, 5, 6, 7, 10, 13, 14, 15 and 16 survive the removal of the Work and the termination of these Terms. These Terms constitute the entire agreement between the Author and Neotlix.Space in respect of the Work.
20. Governing Law, Jurisdiction and Dispute Resolution
These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law rules, and the Author and Neotlix.Space submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with them. The Author irrevocably waives any objection to that venue and, to the fullest extent permitted by applicable law, waives any right to participate in a class, collective or representative action against Neotlix.Space. The English-language version of these Terms is the sole authoritative version; any translation is provided for convenience only. Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of their country of habitual residence where such protection cannot be derogated from by agreement.
21. Actor and Likeness Submissions
Sections 21 through 24 apply specifically to any individual (the "Actor") who submits, via the neotlix.space/submit-actor form or otherwise, their own likeness, image, voice, or public social media profile for potential use as a reference in AI-generated content on the Platform. Submitting that form constitutes acceptance of these sections in addition to all other provisions of these Terms.
22. Likeness License Grant
By submitting the form, the Actor grants Neotlix.Space and the creators and studios operating on the Platform a non-exclusive, worldwide license to use the Actor’s likeness, image, voice and publicly available social media content as a reference for generating AI-changed videos, digital doubles and virtual-performance content, and to publish, distribute and display that content across the Platform and its partnered environments. This license is royalty-bearing where the Actor has opted into monetization and royalty-free otherwise. The Actor represents that the social profile submitted belongs to them and is genuinely public.
23. Monetization, Review and Revocation
Ticking the monetization checkbox indicates the Actor’s intent to be compensated for approved uses of their likeness once a monetization mechanism is introduced; it does not itself guarantee selection, use, or payment. Every submission is reviewed by Neotlix.Space before any listing becomes active. The Actor may request removal of their likeness license at any time by contacting Neotlix.Space; removal takes effect within 30 days and does not affect content already published in reliance on the license before the request.
24. No Endorsement and Content Standards
Use of the Actor’s likeness under this license does not imply the Actor’s endorsement of any specific video, creator, or product, and Neotlix.Space will not knowingly authorize uses that are unlawful, defamatory, or sexually explicit. The Actor is solely responsible for ensuring the social profile submitted belongs to them and that they have the right to grant this license.
